The Arla-Express Dairies deal is to be scrutinised by the Office of Fair Trading after the European Commission was requested to refer part of the deal back to the UK's competition authority.
This is the first request made by the OFT for an EU merger to be referred back to the UK.
It did not reveal which part of the deal was to be examined.
John Vickers, OFT chairman, said: "The proposed transaction raises possible competition concerns within the UK and these concerns are best examined in the UK."
